Welcome to Peach, an AI-powered communications platform developed by Habitual Money, Inc. DBA Peach ("Peach," "Habitual Money," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the Peach website, platform, documentation, and related services (collectively, the "Services").

Please read these Terms carefully before accessing or using the Services.

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are accessing or using the Services on behalf of a college, university, educational institution, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, references to "you" and "your" refer to both you and the organization you represent.

If you do not agree to these Terms, you may not access or use the Services.

I. Relationship to Customer Agreements

Peach provides its Services primarily to colleges, universities, and other institutions pursuant to separately negotiated Master Services Agreements, Order Forms, or other written agreements (each, a "Customer Agreement").

If your organization has entered into a Customer Agreement with Habitual Money, Inc., that Customer Agreement governs your organization's access to and use of the Services. To the extent these Terms conflict with an applicable Customer Agreement, the Customer Agreement will control with respect to the subject matter of that conflict. These Terms continue to apply to matters not addressed by the Customer Agreement.

If you are visiting our website, requesting information about the Services, or otherwise accessing the Services without a Customer Agreement, these Terms govern your use of the Services.

II. Eligibility and Authorized Users

The Services are intended for use by higher education institutions and their authorized personnel.

You may access the Services only if:

  • you are at least eighteen (18) years of age;
  • you have the legal capacity to enter into these Terms;
  • your access has been authorized by your institution or another authorized customer of Peach;
  • your use of the Services complies with all applicable laws, regulations, and these Terms.

Access to the Services is limited to individuals who have been provisioned by an authorized administrator of a customer organization ("Authorized Users"). Customer administrators are responsible for inviting, managing, modifying, and revoking Authorized User accounts.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Peach promptly if you become aware of any unauthorized access to your account or any other security incident involving the Services.

You may not:

  • share your account credentials with another person;
  • allow another individual to access the Services using your account;
  • impersonate another user or organization;
  • create accounts using false or misleading information; or
  • attempt to gain unauthorized access to accounts, systems, or information belonging to another customer.

We reserve the right to suspend or terminate access to any account that violates these Terms or presents a security risk to the Services or our customers.

III. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

"AI Output" means any content, communication, response, summary, recommendation, draft, analysis, or other material generated by or through the artificial intelligence features of the Services in response to Customer Content, user prompts, or other inputs.

"Authorized User" means an employee, contractor, faculty member, staff member, agent, or other individual who has been authorized by a Customer to access and use the Services under the applicable Customer Agreement.

"Customer" means any college, university, educational institution, organization, or other entity that accesses or uses the Services pursuant to these Terms or an applicable Customer Agreement.

"Customer Agreement" means any Master Services Agreement, Order Form, subscription agreement, purchase order accepted by Peach, or other written agreement governing Customer's use of the Services.

"Customer Content" means all information, data, documents, files, communications, prompts, instructions, website content, URLs, text, images, and other materials submitted to, uploaded into, stored within, processed by, or otherwise made available through the Services by or on behalf of a Customer or its Authorized Users.

"Documentation" means the user guides, technical documentation, help center materials, knowledge base articles, onboarding materials, and other written documentation that Peach makes available regarding the Services.

"Feedback" means suggestions, ideas, enhancement requests, recommendations, comments, bug reports, or other feedback relating to the Services.

"Privacy Policy" means Peach's Privacy Policy, as amended from time to time, available on the Peach website.

"Services" means the Peach website, software platform, artificial intelligence features, documentation, applications, integrations, websites, support services, and related products and services made available by Habitual Money, Inc., as modified from time to time.

"Terms" means these Terms of Use, as amended from time to time.

"Third-Party Services" means software, products, platforms, websites, artificial intelligence providers, cloud infrastructure providers, identity providers, communication providers, or other technologies owned or operated by third parties that are integrated with or used in connection with the Services.

IV. Description of the Services

Peach is an artificial intelligence-powered software platform designed to assist colleges, universities, and other educational institutions with student communications, knowledge management, and operational workflows.

The Services may include, among other features:

  • AI-assisted drafting of communications;
  • retrieval and synthesis of information from Customer Content;
  • knowledge base management;
  • document search and analysis;
  • workflow automation tools;
  • reporting and analytics;
  • integrations with third-party services; and
  • other features that Peach may make available from time to time.

The Services are intended to assist institutional staff by improving efficiency and consistency in administrative workflows. The Services are not intended to replace professional judgment or institutional decision-making.

Peach may modify, enhance, discontinue, or replace features of the Services at any time. We continually improve the Services, including through the introduction of new functionality, updates, security enhancements, and performance improvements. Certain features may be designated as beta, preview, or early access offerings and may be subject to additional terms or limitations.

Nothing in these Terms obligates Peach to continue offering any particular feature or functionality unless otherwise expressly agreed in a Customer Agreement.

V. Customer Accounts

Access to the Services is available only through Authorized User accounts provisioned by a customer administrator or by Peach.

Customer administrators are responsible for managing Authorized User accounts, including inviting users, assigning permissions, modifying access levels, and disabling accounts when access is no longer appropriate.

You agree to:

  • provide accurate and complete account information;
  • maintain the confidentiality of your login credentials;
  • use commercially reasonable efforts to prevent unauthorized access to your account;
  • promptly notify Peach of any suspected unauthorized use of your account or any security incident involving the Services; and
  • log out of your account when using shared or public devices.

You may not sell, transfer, sublicense, lease, or otherwise provide access to your account to any other individual or organization.

Customer remains responsible for the actions of its Authorized Users while accessing or using the Services.

VI. Customer Content

For purposes of these Terms, "Customer Content" means all information, data, documents, files, communications, prompts, instructions, website content, and other materials submitted to, uploaded into, stored within, or otherwise made available through the Services by or on behalf of a Customer or its Authorized Users.

Customer Content may include, without limitation:

  • PDF documents;
  • Microsoft Word documents;
  • Microsoft Excel spreadsheets;
  • Microsoft PowerPoint presentations;
  • institutional policies and procedures;
  • training materials;
  • forms and templates;
  • website URLs and publicly available web pages designated by the Customer;
  • prompts submitted to AI features;
  • communications processed through the Services; and
  • other materials uploaded by Customer or its Authorized Users.

Customer retains all right, title, and interest in and to its Customer Content. Except for the limited rights necessary to provide, maintain, secure, and improve the Services as described in these Terms and any applicable Customer Agreement, Peach does not acquire ownership of Customer Content.

By uploading Customer Content, Customer represents and warrants that it has obtained all rights, permissions, consents, and authorizations necessary to provide such Customer Content to Peach and to permit Peach to process such Customer Content in connection with providing the Services.

Customer is solely responsible for the accuracy, quality, legality, reliability, and appropriateness of its Customer Content.

Peach has no obligation to review Customer Content for accuracy, legality, intellectual property ownership, or regulatory compliance. Peach is not responsible for the content, completeness, or legality of materials uploaded by Customers or Authorized Users.

Customer acknowledges that certain Customer Content may be protected by copyright, trademark, privacy, confidentiality, or other applicable laws. Customer is solely responsible for ensuring that its use of such materials complies with applicable law and any contractual obligations owed to third parties.

VII. License to Customer Content

Solely for the purpose of operating, maintaining, securing, supporting, and improving the Services, Customer grants Peach a limited, worldwide, non-exclusive, royalty-free license during the applicable subscription term to host, store, copy, transmit, process, index, retrieve, display, and otherwise use Customer Content as reasonably necessary to provide the Services.

Except as expressly permitted in these Terms, an applicable Customer Agreement, or as required by law, Peach will not sell Customer Content or use Customer Content to train publicly available artificial intelligence models.

Peach may generate aggregated and de-identified information derived from Customer Content and Customer's use of the Services for purposes such as improving the performance, reliability, security, and functionality of the Services, provided that such information does not identify Customer, its Authorized Users, or individual students. This is consistent with the approach reflected in your MSA regarding aggregated and anonymized improvements.

VIII. AI Features and Generated Output

The Services include artificial intelligence and machine learning features that generate suggested communications, summaries, responses, recommendations, and other content ("AI Output"). AI Output is generated based on Customer Content, user instructions, and third-party artificial intelligence technologies.

While Peach is designed to produce helpful and relevant results, artificial intelligence is inherently probabilistic. AI Output may be incomplete, inaccurate, outdated, inconsistent, or inappropriate for a particular circumstance. Similar prompts provided by different users or at different times may produce different results.

Customer acknowledges and agrees that AI Output is intended solely to assist Authorized Users and should not be considered definitive, authoritative, or error-free.

Customer and its Authorized Users are solely responsible for reviewing, evaluating, modifying, and approving all AI Output before relying upon it or communicating it to any third party, including students, applicants, parents, employees, government agencies, or other individuals or organizations.

Customer remains solely responsible for:

  • determining the accuracy and appropriateness of AI Output;
  • ensuring communications comply with applicable laws, regulations, and institutional policies;
  • making all admissions, enrollment, financial aid, compliance, and other institutional decisions;
  • verifying factual statements contained in AI Output; and
  • determining whether AI Output is appropriate for a particular recipient or circumstance.

Peach does not independently make decisions regarding admissions, enrollment, financial aid eligibility, financial aid awards, satisfactory academic progress, Title IV compliance, institutional policy, or any other academic or administrative determination.

The Services do not provide legal advice, regulatory advice, accounting advice, financial aid compliance determinations, or professional advice of any kind. AI Output should not be relied upon as a substitute for the independent judgment of qualified institutional personnel or professional advisors.

Customer acknowledges that use of AI Output is at Customer's own discretion and risk.

IX. Responsible Use of Artificial Intelligence

Peach is designed to enhance the productivity of higher education professionals, not to replace their expertise or professional judgment.

Customer agrees to use the Services responsibly and acknowledges that institutional personnel remain responsible for all final decisions, communications, and actions taken based on information generated through the Services.

Customer agrees not to:

  • represent AI Output as having been independently verified when it has not;
  • use the Services as the sole basis for making admissions, financial aid, disciplinary, employment, or other decisions affecting individuals;
  • rely upon AI Output without appropriate human review;
  • use the Services in a manner that violates applicable law, institutional policy, or contractual obligations; or
  • intentionally use the Services to generate false, misleading, defamatory, fraudulent, or unlawful content.

Customer is responsible for establishing appropriate internal review procedures governing the use of AI-generated content within its organization.

Nothing in the Services is intended to replace institutional governance, regulatory compliance programs, or professional review processes.

X. AI Providers and Third-Party Technologies

Peach utilizes third-party technology providers, including artificial intelligence models, cloud infrastructure providers, and other software services, in order to provide the Services.

Peach may change, replace, or update such third-party providers at any time in its discretion, provided that doing so does not materially reduce the functionality of the Services promised under an applicable Customer Agreement.

Customer acknowledges that certain Customer Content and user prompts may be processed by third-party service providers acting on Peach's behalf solely for the purpose of providing the Services.

Peach does not use Customer Content to train publicly available artificial intelligence foundation models.

Nothing in these Terms grants Customer any rights in or to the services, software, or intellectual property of any third-party provider.

Third-party services may be subject to separate terms and privacy policies established by those providers.

XI. Confidentiality and Privacy

Peach understands that Customer Content may include confidential, proprietary, or otherwise sensitive information relating to Customer, its employees, students, applicants, or operations.

Each Customer remains responsible for determining what information it chooses to upload to the Services. Peach will handle Customer Content in accordance with these Terms, any applicable Customer Agreement, our Privacy Policy, and applicable law.

Customer acknowledges that certain Customer Content may include information protected by federal, state, or local privacy laws, including education records subject to the Family Educational Rights and Privacy Act ("FERPA"). Nothing in these Terms transfers Customer's legal responsibilities under applicable privacy laws. Customer remains responsible for determining what information may lawfully be shared with Peach and for obtaining any required notices, permissions, or consents.

Peach implements commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, disclosure, alteration, or destruction. No security measure, however, is completely secure, and Peach cannot guarantee that unauthorized third parties will never gain access to Customer Content.

XII. Acceptable Use

Customer and all Authorized Users agree to use the Services only for lawful purposes and in accordance with these Terms.

Customer shall not, and shall not permit any third party to:

  • violate any applicable law, regulation, or court order;
  • use the Services to infringe another person's intellectual property, privacy, publicity, or other legal rights;
  • upload or transmit malicious code, viruses, ransomware, worms, or other harmful software;
  • interfere with, disrupt, or compromise the security, integrity, or availability of the Services;
  • attempt to gain unauthorized access to any account, system, network, or Customer Content;
  • circumvent or attempt to bypass authentication, security features, usage restrictions, or rate limits;
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, models, algorithms, or underlying technology of the Services, except to the extent such restriction is prohibited by applicable law;
  • use automated tools, bots, scripts, or scraping technologies to access or extract data from the Services except as expressly authorized by Peach;
  • use the Services to develop, train, benchmark, or improve competing products or services;
  • remove, alter, or obscure proprietary notices or intellectual property markings;
  • use the Services to generate or distribute unlawful, fraudulent, deceptive, defamatory, harassing, or abusive content;
  • use the Services to impersonate another person or organization; or
  • knowingly upload Customer Content that Customer does not have the legal right to use or provide.

Peach may investigate suspected violations of these Terms and may suspend or terminate access to the Services where reasonably necessary to protect the Services, other customers, or third parties.

XIII. Intellectual Property

The Services, including all software, technology, user interfaces, workflows, documentation, designs, graphics, trademarks, logos, service marks, trade names, and other materials provided by Peach, are owned by Habitual Money, Inc. or its licensors and are protected by United States and international intellectual property laws.

Except for the limited rights expressly granted under these Terms or an applicable Customer Agreement, no license or ownership interest is granted to Customer.

Subject to Customer's compliance with these Terms and any applicable Customer Agreement, Peach grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term solely for Customer's internal business purposes.

Customer retains all ownership rights in Customer Content.

As between Peach and Customer, Customer may use AI Output generated through the Services for its lawful internal business purposes. Due to the nature of artificial intelligence, similar or identical output may be generated for other users. Peach does not guarantee that AI Output will be unique or exclusively available to Customer.

Nothing in these Terms transfers ownership of the underlying software, artificial intelligence models, algorithms, or other technology used to operate the Services.

XIV. Feedback

We welcome suggestions, ideas, enhancement requests, comments, and other feedback regarding the Services ("Feedback").

If Customer or an Authorized User voluntarily provides Feedback, Customer grants Peach a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, modify, incorporate, reproduce, distribute, and otherwise exploit such Feedback for any lawful purpose without restriction or compensation.

Customer represents that it has the right to provide such Feedback.

Peach is under no obligation to implement any Feedback.

XV. Third-Party Services

The Services may integrate with or rely upon third-party products, services, websites, software, or infrastructure providers.

Such third-party services may include identity providers, cloud hosting providers, artificial intelligence providers, email providers, productivity platforms, or other technologies used in connection with the Services.

Customer's use of third-party services may be subject to separate terms, privacy policies, or contractual obligations established by those third parties.

Peach is not responsible for the operation, availability, security, or performance of third-party services that are not under Peach's control.

Peach may add, modify, or discontinue integrations with third-party services at any time.

Where Customer chooses to connect third-party services to Peach, Customer authorizes Peach to access and exchange information with those services solely as necessary to provide the requested functionality.

XVI. Service Availability and Changes

Peach is continually evolving to improve the functionality, security, and performance of the Services. We may modify, update, enhance, replace, or discontinue features or functionality from time to time.

While we strive to make the Services available on a continuous basis, we do not guarantee that the Services will be available at all times or operate without interruption or error. The Services may be unavailable due to scheduled maintenance, emergency maintenance, system upgrades, failures of third-party providers, internet outages, security incidents, or other circumstances beyond our reasonable control.

We may perform scheduled maintenance that temporarily affects the availability of the Services. When reasonably practicable, we will endeavor to provide advance notice of scheduled maintenance that is expected to materially impact Customers.

From time to time, Peach may offer beta, preview, early access, or experimental features. Such features are provided for evaluation purposes, may be modified or discontinued at any time, may not be supported, and may be subject to additional terms. Unless otherwise stated, beta features are provided "as is" without any warranty and may not be suitable for production use.

Nothing in these Terms obligates Peach to continue offering any particular feature or functionality except as expressly provided in an applicable Customer Agreement.

XVII. Suspension and Termination

Peach may suspend or restrict access to all or part of the Services immediately if we reasonably believe that:

  • your use of the Services violates these Terms or an applicable Customer Agreement;
  • your use of the Services poses a security risk to Peach, another customer, or a third party;
  • your account has been compromised or is being used without authorization;
  • suspension is necessary to comply with applicable law, regulation, court order, or governmental request;
  • your continued use could interfere with the operation, integrity, or security of the Services; or
  • payment obligations remain outstanding under an applicable Customer Agreement after any applicable notice and cure periods.

Where reasonably practicable, Peach will provide notice of a suspension and an opportunity to remedy the issue before suspending access. However, Peach may suspend access immediately where necessary to protect the Services, other customers, or comply with legal obligations.

Termination of a Customer's subscription or Customer Agreement automatically terminates the right of Authorized Users to access the Services unless otherwise agreed in writing.

Termination of these Terms does not relieve either party of obligations that accrued prior to termination, including payment obligations, nor does it affect provisions that by their nature are intended to survive termination.

XVIII. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEACH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, PEACH DOES NOT WARRANT THAT:

  • THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR ERROR;
  • THE SERVICES WILL ALWAYS BE AVAILABLE OR SECURE;
  • AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT;
  • THE SERVICES WILL IDENTIFY EVERY ERROR, COMPLIANCE ISSUE, OR RISK;
  • USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR BUSINESS, OPERATIONAL, OR REGULATORY OUTCOME; OR
  • THE SERVICES WILL MEET EVERY CUSTOMER REQUIREMENT OR EXPECTATION.

Customer acknowledges that artificial intelligence technologies are continually evolving and that AI-generated content may contain inaccuracies, omissions, or hallucinations. Customer is solely responsible for reviewing all AI Output before relying upon it or communicating it to any third party.

No advice or information obtained from Peach, whether oral or written, creates any warranty not expressly stated in these Terms or an applicable Customer Agreement.

XIX. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business interruption, loss of data, or loss of anticipated savings arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Peach's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of:

(a) the amounts paid by Customer to Peach under the applicable Customer Agreement during the twelve (12) months immediately preceding the event giving rise to the claim; or

(b) one hundred U.S. dollars (US $100), if no Customer Agreement exists between the parties.

The limitations in this Section apply regardless of the legal theory under which a claim is brought, including contract, tort (including negligence), strict liability, or otherwise.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

XX. Indemnification

Customer agrees to defend, indemnify, and hold harmless Habitual Money, Inc., its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any third-party claims, demands, actions, proceedings, damages, judgments, settlements, fines, penalties, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Customer's or an Authorized User's use of the Services in violation of these Terms or an applicable Customer Agreement;
  • Customer Content, including any allegation that Customer Content infringes, misappropriates, or otherwise violates the intellectual property, privacy, publicity, or other rights of a third party;
  • Customer's violation of applicable laws, regulations, or governmental requirements;
  • Customer's negligence, misconduct, or willful acts; or
  • Customer's breach of any representation, warranty, or obligation under these Terms.

Peach will promptly notify Customer of any indemnified claim, cooperate with Customer at Customer's expense in defending such claim, and permit Customer to control the defense and settlement, provided that Customer may not settle any claim that admits fault or imposes obligations upon Peach without Peach's prior written consent, which shall not be unreasonably withheld.

Nothing in this Section limits any indemnification obligations contained in an applicable Customer Agreement.

XXI. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Delaware, and each party irrevocably submits to the personal jurisdiction of those courts.

Each party waives any objection to venue or jurisdiction in such courts to the fullest extent permitted by law.

Nothing in these Terms prevents either party from seeking temporary or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.

XXII. Export Controls and Compliance with Laws

Customer agrees to use the Services in compliance with all applicable federal, state, local, and international laws and regulations.

Customer represents and warrants that neither Customer nor any Authorized User is located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, nor identified on any U.S. government list of prohibited or restricted parties.

Customer shall not access or use the Services in violation of any applicable export control, sanctions, or trade compliance laws, including those administered by the United States Department of Commerce, the United States Department of the Treasury, or other applicable governmental authorities.

XXIII. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between the parties regarding the subject matter addressed herein and supersede all prior or contemporaneous understandings relating to such subject matter.

Assignment

Customer may not assign or transfer these Terms, in whole or in part, without Peach's prior written consent.

Peach may assign these Terms without Customer's consent in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of its assets.

Independent Contractors

The relationship between the parties is that of independent contractors. Nothing contained in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship.

Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, interruptions of internet or telecommunications services, cyberattacks, failures of third-party service providers, or widespread utility outages.

Waiver

No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted, to the greatest extent possible, in a manner consistent with the original intent of the parties.

No Third-Party Beneficiaries

Except as expressly stated herein, these Terms are solely for the benefit of the parties and do not create any rights in favor of any third party.

Electronic Communications

By using the Services, Customer consents to receive electronic communications from Peach regarding the Services, including notices relating to accounts, security, updates, maintenance, and legal matters. Customer agrees that electronic communications satisfy any legal requirement that such communications be in writing.

XXIV. Changes to These Terms

Peach may modify these Terms from time to time to reflect changes in the Services, applicable law, industry practices, or our business operations.

If Customer does not agree to the revised Terms, Customer must discontinue use of the Services, subject to the terms of any applicable Customer Agreement.
